SignlDAW Terms of Service and End-User Licence Agreement

Effective date: 11 October 2026 · Version: 2026-10-11.1

These Terms are a contract between you and SignlDAW OÜ, registry code 17507170, Ahtri tn 12, 15551 Tallinn, Estonia ("SignlDAW", "we", "us"). You can contact us at admin@signldaw.com. They cover the SignlDAW desktop app (the "Software"), your SignlDAW account, and our online services such as collaboration and updates. Together, these are "SignlDAW". These Terms also cover signldaw.com. The website provides working copies for payment-platform review and evaluation; this is not a commercial or early-access launch. Paid subscriptions are not yet open. Published prices describe the planned commercial plans.

When setting up your account, you must explicitly accept these Terms before using account services. If you don't agree, don't use SignlDAW. Our Privacy Policy explains how we handle personal data.

If you're a consumer, nothing in these Terms takes away rights you have under the mandatory consumer laws of your country.

1. Your account

A Plus trial is available once per verified identity. Creating accounts or changing devices to repeat a trial is not permitted. To protect shared households, we allow several distinct verified users on a computer and do not permanently restrict accounts by IP address. If trial eligibility needs review on a shared computer, contact admin@signldaw.com. Eligibility checks never prevent use of the Free plan or a paid subscription.

2. Your licence to use SignlDAW

SignlDAW is licensed to you, not sold. As long as you comply with these Terms, we give you a personal, non-exclusive, non-transferable licence to install the Software on computers you own or control and use it to make music, including music you release commercially. Paid features are included while your Plus or Pro access is active, including the Plus trial described below.

You must not:

  1. copy, sell, rent, lend, distribute or sublicense the Software, or make it available to others;
  2. reverse engineer, decompile or disassemble the Software, or try to extract its source code, models, model parameters, algorithms or other non-public components, except where the law allows this despite this restriction;
  3. use the Software, or any part of it, to build a competing product or to develop or train another machine-learning model;
  4. remove, bypass or interfere with account, subscription, licence or security controls;
  5. interfere with, overload or attack our online services, or access them other than through the Software;
  6. use SignlDAW to break the law or infringe anyone's rights.

We own SignlDAW and all rights in it, other than your content and third-party components. All rights we don't expressly grant are reserved.

Third-party components. SignlDAW includes components that other companies license to us. You may use them only as part of SignlDAW, not separately.

3. Your content

3.1 Music discovery and external playback

In-app music search provides catalogue metadata and links to independently operated music services and stores. A search result or link is not a licence, an endorsement, or a guarantee that a particular recording is available or permitted for reference analysis. Your access to a store, streaming service or website is governed by that provider's terms, subscription and territorial restrictions. You choose and control playback in that service yourself. SignlDAW does not download catalogue preview recordings for Tone Transfer or instrument creation.

3.2 System audio capture and local analysis

When you start capture, SignlDAW receives audio played through your computer's selected capture source. Capture can include other applications and notifications, so choose your passage carefully and stop playback you do not intend to capture. You must have permission to capture and process that audio, comply with applicable law and source-service terms, and obtain any necessary consent from people whose voice or private communications are included. Permission to listen to a recording does not necessarily include permission to capture, analyse or transform it.

Captured passages are processed locally using short-lived audio files. Tone Transfer analyses a passage to derive effect settings; instrument creation can separate sounds and derive a playable instrument. These features do not grant rights in the reference recording, performance, composition, voice, likeness or sound library. Do not use them to bypass copy protection, access restrictions or licence controls, impersonate someone unlawfully, or produce or distribute material that infringes another person's rights.

We do not receive captured audio through this workflow or use it to train or improve our general models. Temporary capture and analysis files are removed when the operation and its active processing callbacks release them. An interrupted process or abnormal shutdown can leave temporary files pending cleanup. Settings and instruments you elect to keep remain on your computer; a created instrument can contain derived audio or model data. You are responsible for ensuring you may retain and use those results, including in commercial releases or collaboration.

3.3 Results and rights

SignlDAW provides production tools, not a determination of copyright clearance, originality or non-infringement. We do not promise that a result will reproduce a particular artist, instrument or recording, or that it will be unique or suitable for every use. Our statement that we claim no ownership of your content does not remove rights held by third parties. Review the musical result and the permissions for your intended use before publishing or sharing it.

4. Collaboration

5. Free, Plus and Pro plans

5.1 Invite a friend

The referral offer is not available in the current review copies. The following rules apply if the offer is enabled at commercial launch.

Share your account's referral code with a friend before they buy their first plan. If both of you have paid Plus subscriptions, each receives one free calendar month for that referral. For monthly billing it follows the current paid month; for annual billing it follows the current paid year. The subscription's renewal is paused during the free month, with Plus access continuing, and then resumes on its usual billing interval. Multiple qualifying referrals can extend the free period. Trials, self-referrals and Pro purchases do not qualify. Each friend can claim one referrer; the same pair cannot be rewarded twice. Cancellation, a full refund, chargeback or closed account prevents an unpaid reward from creating or restarting billing. Contact admin@signldaw.com if a reward needs assistance.

6. Subscriptions, cancellation and refunds

6.1 Who sells subscriptions

Creem is the intended Merchant of Record for future purchases, subject to account approval and payment activation. The legal seller and payment provider are identified at checkout and on your receipt. Checkout shows the price, billing period, applicable taxes and any additional purchase terms before you pay. These Terms govern your use of SignlDAW. Contact admin@signldaw.com for billing and refund assistance.

6.2 Billing and renewal

Plus and Pro are billed monthly or annually, in advance. Your subscription renews at the end of each billing period for another period of the same length, and you'll be charged the price in effect at that time, until you cancel. Where the law in your location requires it, you will receive a reminder before an annual subscription renews.

If the law where you live lets you end a renewed subscription early, you can do so and receive a pro-rata refund for the time you haven't used. For example, in Germany you can end an annual subscription at any time with one month's notice once its first year is over.

6.3 Price changes

We'll tell you at least 30 days before a price change applies to your subscription. The new price applies from your first renewal after that notice period. If you don't want to pay it, cancel before then.

6.4 Cancelling

You can cancel at any time in SignlDAW (Account menu → Manage Subscription), through the subscription-management link in your receipt, or by emailing admin@signldaw.com. Cancelling stops future renewals. You keep your paid plan until the end of the period you've paid for, and then your account moves to the Free plan. Your projects stay on your device and remain yours.

6.5 Failed payments

If a renewal payment fails, our payment provider may retry it. Your paid plan stays available for up to three days after the paid period ends while payment is past due. If the payment still fails, your subscription ends and your account moves to the Free plan.

6.6 14-day money-back guarantee

If you're not happy with Plus or Pro, you can get a full refund of your first subscription payment, monthly or annual, as long as you ask within 14 days of that payment. The guarantee applies once per customer. Your paid access ends when the refund is issued.

Renewal payments aren't refundable, except as described in sections 5 and 6.2 or where the law requires a refund, for example if SignlDAW is faulty and can't be fixed.

To ask for a refund, email admin@signldaw.com or use the refund-support link in your receipt. Approved refunds are returned to your original payment method.

6.7 Your right of withdrawal in the EU, EEA and UK

If you're a consumer in the EU, EEA or UK, you generally have a statutory 14-day withdrawal period for an online purchase, subject to the rules that apply to the type of digital content or service supplied. Where immediate supply requires your express consent and acknowledgement of the effect on your withdrawal right, these are requested separately at checkout. Starting to use SignlDAW does not by itself waive a statutory right. To exercise withdrawal, send a clear statement to admin@signldaw.com or use the withdrawal facility identified in your receipt. Any lawful deduction for services already supplied, or loss of a withdrawal right for digital content, applies only if its legal conditions have been met. The first-payment money-back guarantee in section 6.6 remains available regardless of a valid withdrawal waiver.

7. Updates and availability

We provide updates to fix bugs, improve security and add features. Some updates may be required for you to keep using our online services. If you're a consumer, we'll provide the updates needed to keep SignlDAW working as these Terms describe, for as long as the law requires. Our online services may occasionally be unavailable because of maintenance or events outside our control.

8. Third-party software and services

Third-party plugins (such as VST3 and Audio Unit plugins), sign-in with Google or Apple and third-party music catalogues are provided by others under their own terms. We're not responsible for them.

9. Suspension and termination

10. Our responsibility for SignlDAW

11. Limitation of liability

12. Changes to these Terms

We may update these Terms to reflect changes in the law, in our services or in our business. We'll give you at least 30 days' notice of significant changes, in the app or by email. If you don't agree to the changes, you can stop using SignlDAW and cancel before they take effect. If you have a paid subscription, you'll then get a pro-rata refund for the time you haven't used. If you keep using SignlDAW after the changes take effect, the updated Terms apply to you.
