SignlDAW Terms of Service and End-User Licence Agreement
Effective date: 11 October 2026 · Version: 2026-10-11.1
These Terms are a contract between you and SignlDAW OÜ, registry code 17507170, Ahtri tn 12, 15551 Tallinn, Estonia ("SignlDAW", "we", "us"). You can contact us at admin@signldaw.com. They cover the SignlDAW desktop app (the "Software"), your SignlDAW account, and our online services such as collaboration and updates. Together, these are "SignlDAW". These Terms also cover signldaw.com. The website provides working copies for payment-platform review and evaluation; this is not a commercial or early-access launch. Paid subscriptions are not yet open. Published prices describe the planned commercial plans.
When setting up your account, you must explicitly accept these Terms before using account services. If you don't agree, don't use SignlDAW. Our Privacy Policy explains how we handle personal data.
If you're a consumer, nothing in these Terms takes away rights you have under the mandatory consumer laws of your country.
1. Your account
- You must be at least 16 to create an account. If you're under 18, you need a parent's or guardian's permission to buy a subscription.
- Give accurate information, keep your login secure, and don't share your account with anyone. You're responsible for what happens under your account.
- You can request account deletion in Account menu → Delete Account, or by emailing admin@signldaw.com.
A Plus trial is available once per verified identity. Creating accounts or changing devices to repeat a trial is not permitted. To protect shared households, we allow several distinct verified users on a computer and do not permanently restrict accounts by IP address. If trial eligibility needs review on a shared computer, contact admin@signldaw.com. Eligibility checks never prevent use of the Free plan or a paid subscription.
2. Your licence to use SignlDAW
SignlDAW is licensed to you, not sold. As long as you comply with these Terms, we give you a personal, non-exclusive, non-transferable licence to install the Software on computers you own or control and use it to make music, including music you release commercially. Paid features are included while your Plus or Pro access is active, including the Plus trial described below.
You must not:
- copy, sell, rent, lend, distribute or sublicense the Software, or make it available to others;
- reverse engineer, decompile or disassemble the Software, or try to extract its source code, models, model parameters, algorithms or other non-public components, except where the law allows this despite this restriction;
- use the Software, or any part of it, to build a competing product or to develop or train another machine-learning model;
- remove, bypass or interfere with account, subscription, licence or security controls;
- interfere with, overload or attack our online services, or access them other than through the Software;
- use SignlDAW to break the law or infringe anyone's rights.
We own SignlDAW and all rights in it, other than your content and third-party components. All rights we don't expressly grant are reserved.
Third-party components. SignlDAW includes components that other companies license to us. You may use them only as part of SignlDAW, not separately.
- SignlDAW uses the Rubber Band Library audio timestretcher from Breakfast Quay.
- SignlDAW is built with the JUCE framework.
- Open-source components are provided under their own licences, which are listed in the ThirdPartyNotices folder installed with SignlDAW. Where one of those licences gives you rights that conflict with this section, that licence prevails for that component.
3. Your content
- You keep all rights in your projects, your recordings and the music you make with SignlDAW, including results produced by SignlDAW's AI features. We claim no ownership of your content.
- Your projects stay on your device. We only receive content you send us yourself, such as screenshots in a problem report, and we use it only to deal with your report.
- You're responsible for having the rights to material you bring into SignlDAW, such as samples, stems and other people's recordings, and for how you use what you make.
- Music you find through in-app search belongs to its owners and is provided by third parties. SignlDAW gives you no licence to that music. Use, capture, analyse, transform or share third-party material only when you have the necessary rights or another lawful basis.
- AI features can produce results that are inaccurate or similar to other people's results. Review results before you publish them.
3.1 Music discovery and external playback
In-app music search provides catalogue metadata and links to independently operated music services and stores. A search result or link is not a licence, an endorsement, or a guarantee that a particular recording is available or permitted for reference analysis. Your access to a store, streaming service or website is governed by that provider's terms, subscription and territorial restrictions. You choose and control playback in that service yourself. SignlDAW does not download catalogue preview recordings for Tone Transfer or instrument creation.
3.2 System audio capture and local analysis
When you start capture, SignlDAW receives audio played through your computer's selected capture source. Capture can include other applications and notifications, so choose your passage carefully and stop playback you do not intend to capture. You must have permission to capture and process that audio, comply with applicable law and source-service terms, and obtain any necessary consent from people whose voice or private communications are included. Permission to listen to a recording does not necessarily include permission to capture, analyse or transform it.
Captured passages are processed locally using short-lived audio files. Tone Transfer analyses a passage to derive effect settings; instrument creation can separate sounds and derive a playable instrument. These features do not grant rights in the reference recording, performance, composition, voice, likeness or sound library. Do not use them to bypass copy protection, access restrictions or licence controls, impersonate someone unlawfully, or produce or distribute material that infringes another person's rights.
We do not receive captured audio through this workflow or use it to train or improve our general models. Temporary capture and analysis files are removed when the operation and its active processing callbacks release them. An interrupted process or abnormal shutdown can leave temporary files pending cleanup. Settings and instruments you elect to keep remain on your computer; a created instrument can contain derived audio or model data. You are responsible for ensuring you may retain and use those results, including in commercial releases or collaboration.
3.3 Results and rights
SignlDAW provides production tools, not a determination of copyright clearance, originality or non-infringement. We do not promise that a result will reproduce a particular artist, instrument or recording, or that it will be unique or suitable for every use. Our statement that we claim no ownership of your content does not remove rights held by third parties. Review the musical result and the permissions for your intended use before publishing or sharing it.
4. Collaboration
- You choose whom to invite. Anyone who has your invite link can use it to join, so share it only with the person you mean to invite.
- Collaborators receive copies of what you share, and we can't recall content once it has been sent.
- Only share content you have the right to share, and don't use collaboration to distribute unlawful material. We may suspend collaboration for accounts that misuse it.
- We don't store your projects, so keep your own backups.
5. Free, Plus and Pro plans
- Free includes unlimited audio recording, offline Audio-to-MIDI, free previews, music discovery and system audio capture, plugins you own, core DAW features, and software updates and bug fixes. Free includes no new Tone Transfers, instrument creations, online/live Audio-to-MIDI takes or collaboration projects.
- Eligible users receive a 10-day Plus trial after verified account setup. No payment card is required and the trial does not start a paid subscription. At expiry you move to Free unless you buy a plan. Buying a paid plan ends the trial; a refund or chargeback does not restart it. Effect settings from Tone Transfers already applied to a project remain usable. Created instruments remain playable on Free, including when loaded into new projects; Free cannot create more instruments.
- Plus includes 25 Tone Transfers, 10 instrument creations, 50 accepted online/live Audio-to-MIDI clips and two distinct collaboration projects per UTC calendar month. Exchanges within those two projects are unlimited. It includes all unlimited local features in Free and use of created instruments. Standard prices are EUR 19.99 monthly or EUR 199 annually (EUR 40.88 less than twelve monthly payments). India prices are EUR 4.99 monthly or EUR 40 annually (EUR 19.88 less than twelve monthly payments).
- Pro includes unlimited Tone Transfers, instrument creation, online/live and offline Audio-to-MIDI, collaboration and audio recording, plugins you own, and updates and bug fixes. Standard prices are EUR 29.99 monthly or EUR 300 annually. India prices are EUR 14.99 monthly or EUR 130 annually. Additional Pro features may be added; unspecified future features are not promised as current features.
- Annual billing changes the payment interval, not the monthly Plus allowances. Unused allowances do not carry over. Account balances are shared across devices. Tone Transfer and instrument creation consume an allowance when their start is authorized. Repeating the same authorized request does not consume another allowance.
- Live Audio-to-MIDI requires Plus or Pro. On Free, detection can run while monitoring is enabled, but its first detected note opens an upgrade prompt and does not play through the instrument. Normal MIDI-controller playback, MIDI recording and creating MIDI clips remain unlimited.
- A recorded online/live Audio-to-MIDI take consumes one allowance only when you accept its clip with the tick. The cross discards the entire clip, including its linked MIDI, without consuming an allowance. Offline conversion remains unlimited. Audio processing stays on your computer; "online" describes the account-authorized live workflow.
- Collaboration limits count distinct stable project identities during a UTC calendar month, including projects you join. A project used again in a later month counts toward that month's allowance. Pro has no project limit.
- Paid operations require a connection to confirm account status and allowances. If our account service is unavailable these operations may be temporarily unavailable. Unlimited local recording and offline conversion remain available.
- Prices are in EUR. Checkout identifies applicable taxes and the final charge before you pay. Regional prices are based on the buyer's location verified by our account service and payment provider.
- If a change materially reduces paid access during a paid period, we will tell you in advance. You can cancel within 30 days of the change and receive a pro-rata refund for unused time.
5.1 Invite a friend
The referral offer is not available in the current review copies. The following rules apply if the offer is enabled at commercial launch.
Share your account's referral code with a friend before they buy their first plan. If both of you have paid Plus subscriptions, each receives one free calendar month for that referral. For monthly billing it follows the current paid month; for annual billing it follows the current paid year. The subscription's renewal is paused during the free month, with Plus access continuing, and then resumes on its usual billing interval. Multiple qualifying referrals can extend the free period. Trials, self-referrals and Pro purchases do not qualify. Each friend can claim one referrer; the same pair cannot be rewarded twice. Cancellation, a full refund, chargeback or closed account prevents an unpaid reward from creating or restarting billing. Contact admin@signldaw.com if a reward needs assistance.
6. Subscriptions, cancellation and refunds
6.1 Who sells subscriptions
Creem is the intended Merchant of Record for future purchases, subject to account approval and payment activation. The legal seller and payment provider are identified at checkout and on your receipt. Checkout shows the price, billing period, applicable taxes and any additional purchase terms before you pay. These Terms govern your use of SignlDAW. Contact admin@signldaw.com for billing and refund assistance.
6.2 Billing and renewal
Plus and Pro are billed monthly or annually, in advance. Your subscription renews at the end of each billing period for another period of the same length, and you'll be charged the price in effect at that time, until you cancel. Where the law in your location requires it, you will receive a reminder before an annual subscription renews.
If the law where you live lets you end a renewed subscription early, you can do so and receive a pro-rata refund for the time you haven't used. For example, in Germany you can end an annual subscription at any time with one month's notice once its first year is over.
6.3 Price changes
We'll tell you at least 30 days before a price change applies to your subscription. The new price applies from your first renewal after that notice period. If you don't want to pay it, cancel before then.
6.4 Cancelling
You can cancel at any time in SignlDAW (Account menu → Manage Subscription), through the subscription-management link in your receipt, or by emailing admin@signldaw.com. Cancelling stops future renewals. You keep your paid plan until the end of the period you've paid for, and then your account moves to the Free plan. Your projects stay on your device and remain yours.
6.5 Failed payments
If a renewal payment fails, our payment provider may retry it. Your paid plan stays available for up to three days after the paid period ends while payment is past due. If the payment still fails, your subscription ends and your account moves to the Free plan.
6.6 14-day money-back guarantee
If you're not happy with Plus or Pro, you can get a full refund of your first subscription payment, monthly or annual, as long as you ask within 14 days of that payment. The guarantee applies once per customer. Your paid access ends when the refund is issued.
Renewal payments aren't refundable, except as described in sections 5 and 6.2 or where the law requires a refund, for example if SignlDAW is faulty and can't be fixed.
To ask for a refund, email admin@signldaw.com or use the refund-support link in your receipt. Approved refunds are returned to your original payment method.
6.7 Your right of withdrawal in the EU, EEA and UK
If you're a consumer in the EU, EEA or UK, you generally have a statutory 14-day withdrawal period for an online purchase, subject to the rules that apply to the type of digital content or service supplied. Where immediate supply requires your express consent and acknowledgement of the effect on your withdrawal right, these are requested separately at checkout. Starting to use SignlDAW does not by itself waive a statutory right. To exercise withdrawal, send a clear statement to admin@signldaw.com or use the withdrawal facility identified in your receipt. Any lawful deduction for services already supplied, or loss of a withdrawal right for digital content, applies only if its legal conditions have been met. The first-payment money-back guarantee in section 6.6 remains available regardless of a valid withdrawal waiver.
7. Updates and availability
We provide updates to fix bugs, improve security and add features. Some updates may be required for you to keep using our online services. If you're a consumer, we'll provide the updates needed to keep SignlDAW working as these Terms describe, for as long as the law requires. Our online services may occasionally be unavailable because of maintenance or events outside our control.
8. Third-party software and services
Third-party plugins (such as VST3 and Audio Unit plugins), sign-in with Google or Apple and third-party music catalogues are provided by others under their own terms. We're not responsible for them.
9. Suspension and termination
- You can stop using SignlDAW at any time and close your account as described in section 1. Account deletion closes access immediately and queues cancellation and identity deletion. Cancellation is processed before the billing link is erased; provider outages may delay completion. Contact us promptly if a renewal occurs while deletion is pending.
- We may suspend or close your account, or end your licence, if you seriously or repeatedly break these Terms, if the law requires it, or to protect other users or our services. Where it's reasonable to do so, we'll tell you why first and give you a chance to fix the problem. If we close your account for any reason other than a breach by you, we'll refund the prepaid subscription time you haven't used.
- When your licence ends, stop using the Software and uninstall it. Sections 3, 10, 11, 13 and 14 continue to apply after these Terms end.
10. Our responsibility for SignlDAW
- If you're a consumer, you have legal rights if SignlDAW is faulty or not as described. These Terms don't affect those rights.
- Beyond those rights, SignlDAW is provided "as is". We don't promise that it will be error-free or uninterrupted, or that its AI features will produce any particular result. Keep backups of your projects.
11. Limitation of liability
- Always: nothing in these Terms limits our liability for death or damage to health, for damage we cause intentionally or through gross negligence, for fraud, or for anything else that can't be limited by law.
- If you're a consumer: we're responsible for damage that we foresaw, or should have foreseen, as a possible result of our breaking these Terms when you accepted them. We're not responsible for damage that wasn't foreseeable.
- If you use SignlDAW for business: we're not liable for lost profits, revenue, business, opportunities or data. Our total liability for all claims relating to SignlDAW is limited to the greater of EUR 100 or the amount you paid for SignlDAW in the 12 months before the claim.
12. Changes to these Terms
We may update these Terms to reflect changes in the law, in our services or in our business. We'll give you at least 30 days' notice of significant changes, in the app or by email. If you don't agree to the changes, you can stop using SignlDAW and cancel before they take effect. If you have a paid subscription, you'll then get a pro-rata refund for the time you haven't used. If you keep using SignlDAW after the changes take effect, the updated Terms apply to you.
13. Governing law and disputes
- These Terms are governed by Estonian law. If you're a consumer, you also keep the protection of the mandatory laws of the country where you live, and you can bring claims in your local courts.
- Other disputes go to Harju County Court (Harju Maakohus) in Tallinn, Estonia.
- Please contact us first at admin@signldaw.com, as most problems can be solved quickly. If we can't resolve your complaint, you can take it free of charge to the out-of-court dispute resolution body for Estonian traders: the Consumer Disputes Committee (Tarbijavaidluste komisjon), at the Consumer Protection and Technical Regulatory Authority, Endla 10a, 10122 Tallinn, Estonia · avaldus@komisjon.ee · ttja.ee/en/consumer-disputes-committee. Its procedure rules are published on that website.
14. General
- These Terms and the Privacy Policy make up the agreement between you and us about SignlDAW. Any separate purchase terms disclosed by the seller at checkout apply to that purchase and do not reduce your mandatory legal rights.
- We provide these Terms, and communicate with you, in English. By accepting these Terms, you agree to receive them and all related information in English.
- If any part of these Terms is found invalid, the rest stays in effect.
- If we don't enforce a right straight away, we can still enforce it later.
- We may transfer this agreement to a company that takes over SignlDAW, as long as your rights aren't reduced. You may not transfer it without our consent.
